Welcome to Extractify. These Terms of Service ("Terms") govern your access to and use of our document processing platform and related services (collectively, the "Service"). By accessing or using Extractify, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Extractify, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Extractify is an AI-powered document processing platform that enables users to extract structured data from PDFs, forms, and other documents. Our Service includes:

AI-powered document extraction and processing
Data storage and management tools
Stripe-based pay-as-you-go credit system
Subscription-based advanced features
Export tools for structured data (JSON, CSV)

3. Account Registration and Security

3.1 Account Creation: To use certain features of the Service, you must create an account via Google Auth or magic link. You agree to provide accurate information and keep it updated.

3.2 Account Security: You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

3.3 Account Eligibility: You must be at least 18 years old to use our Service.

4. Credits, Subscriptions, and Payment

4.1 Credits (Pay-As-You-Go): We offer a credit-based system for document processing. Each processed page deducts from your credit balance according to your current plan rates.

4.2 Subscription Plans: We offer various subscription tiers (Free, Starter, Pro) with different included features and per-page rates.

4.3 Billing: Subscriptions are billed in advance on a recurring basis. PAYG top-ups are billed at the time of purchase. All transaction processing is handled via Stripe.

4.4 No-Refund Policy: All fees are non-refundable. We do not provide refunds for partial subscription periods, unused credits, or any unused time.

4.5 Price Changes: We reserve the right to modify our pricing at any time with at least 30 days' notice for active subscribers.

5. User Content and Data

5.1 Ownership: You retain all ownership rights to the documents you upload and the data extracted from them ("User Content").

5.2 License: You grant us a limited, non-exclusive, royalty-free license to store and process your User Content solely to provide and improve the Service.

5.3 Responsibility: You are solely responsible for your User Content and ensuring you have the legal right to process any documents uploaded to Extractify.

6. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Process illegal, fraudulent, or malicious documents
Attempt to reverse engineer or bypass service limits
Engage in automated scraping or bulk account creation without permission

7. Intellectual Property Rights

7.1 Extractify Property: The Service, including its design, features, graphics, text, and source code, is owned by Extractify and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

7.2 Trademarks: "Extractify" and our logo are trademarks of Extractify. You may not use these trademarks without our prior written consent.

7.3 Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you.

8. Third-Party Services

Our Service relies on third-party providers including Google Cloud (for document processing), Stripe (for payments), and Supabase (for data storage). We are not responsible for any failures, outages, or issues caused by these third-party services. Your use of these services may be subject to their respective terms and conditions.

9. Disclaimers and Limitations of Liability

9.1 "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". We do not guarantee 100% uptime or error-free processing.

9.2 AI Accuracy: While we use advanced AI models, extracted data may contain inaccuracies. You are responsible for verifying all results.

9.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXTRACTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Extractify, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (except for payment obligations) for causes beyond that party's reasonable control and occurring without that party's fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes, or other labor problems, or systemic electrical, telecommunications, or other utility failures.

12. Modification of Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Bronx County, New York.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Extractify regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.

17. Termination

You may delete your account at any time via settings. We reserve the right to suspend or terminate access for violations of these Terms. Upon termination, your right to use the Service immediately ceases.
